Terms of Business

The terms on which Freight Talent provides permanent recruitment services to client employers and candidates.

1. Who we are

Freight Talent is a trading name of Maine Couriers Ltd, registered in England and Wales under company number 10970780, with registered office at Office 1, Izabella House, 24-26 Regent Place, Birmingham B1 3NJ. In these terms, "we", "us" and "our" mean that company. References to "you" mean the client employer or candidate to whom these terms apply.

2. Our services

We are a specialist permanent recruitment agency for the logistics, transport, warehousing and supply chain sector. We act as an employment agency within the meaning of the Employment Agencies Act 1973 and the Conduct of Employment Agencies and Employment Businesses Regulations 2003 — that is, we introduce candidates to client employers for direct, permanent engagement by the client.

We do not operate as an employment business and do not supply temporary, agency or contract workers. We are not the employer of any candidate we introduce.

3. Terms for client employers

3.1 Introductions

An "Introduction" occurs when we provide you with a candidate's details, or a candidate we have represented makes contact with you as a result of our work. An "Engagement" occurs when you (or a third party to whom you have passed the candidate's details) employ or otherwise engage the candidate, on a permanent or fixed-term basis, within [12] months of the Introduction.

3.2 Fees

A placement fee becomes payable on Engagement of an Introduced candidate. Our standard fee is [a percentage of the candidate's first-year gross basic salary / as set out in your individual fee agreement]. Fees are exclusive of VAT where applicable. Full fee terms are confirmed in writing for each assignment before any Introduction.

3.3 Rebate

If an Engagement terminates within [the agreed rebate period] for reasons other than redundancy or any act or omission of the client, a [sliding-scale rebate] of the fee applies, provided all fees were paid by the due date and we are notified promptly in writing. Full rebate terms are set out in your fee agreement.

3.4 Third parties and transfers

If you pass an Introduced candidate's details to a third party who then Engages the candidate, you remain liable for the fee. Transfer-fee and "introduction to a supplier of services" terms apply as set out in your fee agreement.

3.5 Suitability

We take reasonable steps to confirm a candidate's identity, experience, qualifications and right to work in the UK, and to ensure suitability for the role. The final decision to engage a candidate — including any further vetting, references and right-to-work checks the role requires — rests with you.

4. Terms for candidates

Our service is free of charge to candidates — we never charge a work-finding fee. We will not submit your CV or personal details to any client without your prior consent. You agree to provide accurate information about your experience, qualifications and right to work, and to keep us informed of any change in your availability or of approaches you make directly to our clients. 5. Use of this website

This website is provided for general information about our services. Job listings are indicative and may change or be withdrawn at any time, and nothing on this site constitutes a binding offer of employment or of services. Sample roles and salary figures shown are illustrative and are not a guarantee.

6. Liability

We provide our services with reasonable care and skill but do not guarantee that any Introduction will result in an Engagement, or the suitability or performance of any candidate or client. To the extent permitted by law, our total liability arising from our services is limited to the fees paid for the relevant assignment. Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or anything else that cannot lawfully be excluded.

7. Data protection

We process personal data in accordance with the UK GDPR and the Data Protection Act 2018, as described in our Privacy Policy.

8. Governing law

These terms are governed by the law of [England and Wales] and are subject to the exclusive jurisdiction of its courts.
